Corporate Governance

IPE has an active Board of Directors that meets periodically, at least on a quarterly basis. The members of IPE’s Board are appointed during the annual General Meeting of Shareholders.
Pursuant to the Companies Law 5759-1999 and IPE's Article, two board members are outside directors.
The current active Chairman of the Board is Mr. Jacob Gottenstein.

The members of IPE’s board are leaders in the business, economic and financial arenas, professionals possessing managerial and business expertise and vast experience in commerce, industry, banking, accounting, taxation, financial management, investments, as well as in the academic arena.

Resolutions of IPE’s Board of Directors are passed by an ordinary majority of votes.
The Board of Directors has instituted a number of subcommittees, including: the Audit Committee, the Investments and Finance Committee, which also reviews and recommends the approval of financial statements, and a Donations Committee.
Pursuant to the Companies Law 5759-1999, all outside directors participates in each of the Board Committees.
